This End User License Agreement (the “Agreement”) is a legal agreement between you (the “End User”) and Zipprr, Inc. (“Zipprr”) for the use of the online marketplace platform offered by Zipprr for the buying and selling of websites, apps, e-commerce stores, PHP scripts, clone scripts, domain names and related intellectual property (collectively, the “Platform”). By using the Platform, you agree to be bound by the terms and conditions of this Agreement.

1. License Grant:

Zipprr grants the End User a non-exclusive, non-transferable, limited license to use the Platform solely for the purpose of buying and selling websites, apps, e-commerce stores, PHP scripts, clone scripts, domain names and related intellectual property. The End User shall not sublicense, assign or transfer the license to the Platform, nor shall the End User copy, modify, or distribute the Platform in any manner. The End User agrees to use the Platform in compliance with all applicable laws and regulations and shall not use the Platform in any way that is harmful to Zipprr or its affiliates.

2. Restrictions:

The End User shall not copy, modify, or distribute the Platform in any manner. Furthermore, the End User shall not sublicense, assign, or transfer the license to the Platform nor reverse engineer, decompile, or disassemble the Platform. The End User agrees to use the Platform in compliance with all applicable laws and regulations and shall not use the Platform in any way that is harmful to Zipprr or its affiliates.

3. Fees:

The End User agrees to pay any fees associated with the use of the Platform, including but not limited to transaction fees and listing fees. The End User acknowledges and agrees that Zipprr may modify or change its fees at any time, and that such modifications or changes will be effective immediately upon being posted on the Platform.

4. Intellectual Property:

All intellectual property rights in the Platform, including but not limited to copyrights, trademarks, and patents, belong to Zipprr or its affiliates. The End User shall not use any intellectual property belonging to Zipprr or its affiliates without prior written consent.

5. Warranty Disclaimer:

The Platform is provided “as is” and Zipprr makes no warranties or representations regarding the Platform, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Zipprr does not warrant that the Platform will be uninterrupted or error-free or that any defects will be corrected.

6. Limitation of Liability:

In no event shall Zipprr be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Platform, whether or not Zipprr has been advised of the possibility of such damages. The End User acknowledges and agrees that Zipprr’s liability for any and all claims arising out of or in connection with this Agreement or the Platform shall not exceed the fees paid by the End User to Zipprr for the use of the Platform.

7. Indemnification:

The End User agrees to indemnify, defend, and hold harmless Zipprr and its affiliates, directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses arising out of or in connection with the End User’s use of the Platform. The End User agrees to cooperate fully in the defence of any such claim and acknowledges that Zipprr reserves the right to assume exclusive control over the defence of any such claim.

8. Termination:

Zipprr may terminate this Agreement at any time if the End User breaches any of its terms and conditions. Upon termination of this Agreement, the End User must immediately cease all use of the Platform and destroy any copies of the Platform in its possession.

9. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the law of India, without giving effect to any principles of conflicts of law. The End User agrees that any action or proceeding arising out of or in connection with this Agreement shall be brought in a court of competent jurisdiction located in India.

10. Entire Agreement:

This Agreement constitutes the entire agreement between the End User and Zipprr and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

11. Changes to this Agreement:

Zipprr may modify or change the terms and conditions of this Agreement at any time. Any such modifications or changes will be effective immediately upon being posted on the Platform. The End User’s continued use of the Platform after any such modifications or changes shall constitute acceptance of such modifications or changes.

12. Severability:

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Waiver:

The failure of Zipprr to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of the right to enforce such provision.

14. Assignment:

The End User shall not assign or transfer this Agreement or any of its rights or obligations hereunder without the prior written consent of Zipprr. Any attempted assignment or transfer in violation of this provision shall be null and void.

15. Notices:

All notices, requests, and other communications hereunder shall be in writing and shall be deemed to have been given upon receipt if delivered personally or by email, or upon confirmation of delivery if sent by certified or registered mail, return receipt requested, postage prepaid, to the parties at the addresses set forth in this Agreement.

This End User License Agreement is an important document that governs the use of Zipprr’s online marketplace platform. By using the Platform, the End User agrees to be bound by the terms and conditions set forth in this Agreement. It is important for the End User to carefully read and understand the terms and conditions of this Agreement before using the Platform.
